Terms of Service
Last Updated: January 2026 • SprintStack Digital (Bangalore, India)
1. Engagement Framework & Scope of Document
These Terms of Service govern the use of the SprintStack.digital website and establish the general commercial principles applicable to our custom software engineering engagements. Individual bespoke builds, architecture discovery sprints, and dedicated developer teams are formalized through a dedicated Master Services Agreement (MSA) accompanied by a signed Statement of Work (SOW) detailing exact technical sprint deliverables, schedules, and acceptance criteria.
In the event of any conflict between these general website terms and a fully executed client-specific Master Services Agreement, the terms of the Master Services Agreement shall prevail.
2. Intellectual Property (IP) Transfer & Code Ownership
We believe clients must fully own their technology assets. Our intellectual property transfer terms are straightforward, legally enforceable, and aligned across all agreements:
- Bespoke Client Deliverables: All custom code, database schemas, API interfaces, configuration scripts, and visual design assets engineered specifically for the client transfer unconditionally to the client upon receipt of agreed milestone payments.
- Immediate Transparency: Clients receive direct read/write access to their private Git repository (GitHub/GitLab) from Sprint 01, ensuring full visibility into commit histories and development velocity.
- Open-Source & Pre-existing Frameworks: Third-party libraries (e.g., React, Next.js, PostgreSQL) and open-source dependencies remain governed by their respective permissive licenses (e.g., MIT, Apache 2.0). All utilized packages are documented in client handover documentation.
3. Commercial Models & Milestone Payment Terms
SprintStack operates on predictable, fixed-scope commercial structures:
- Architecture Discovery Sprint: Invoiced and paid 100% upfront prior to technical blueprinting and prototype design. As codified in our commercial policy, 100% of this fee is credited toward the subsequent fixed-scope build if the client proceeds.
- Fixed-Scope Sprint Builds: Invoiced against verified delivery milestones: typically 30% initial deposit, 40% upon midpoint staging demo delivery, and 30% upon final user acceptance and production deployment.
- Dedicated Squads: Invoiced monthly in advance on a calendar-month retainer, with a 30-day written cancellation notice period.
4. The 5-Step Change Request Process
To ensure zero unexpected costs or invoice inflation, all scope alterations during active sprints are governed by our contractual 5-step change governance policy:
- Client submits a written adjustment or feature request.
- SprintStack delivers a 1-page impact assessment within 2 working days detailing pricing and date impact.
- Zero engineering work commences without explicit written client sign-off.
- Equal Swap Rule: If an added feature replaces a planned task of equivalent complexity, the project price does not increase.
- Approved changes appear as clear, transparent line items on milestone invoices. Details are available on our Pricing Page.
5. Acceptance Testing & 30-Day Post-Launch Warranty
Each sprint concludes with a functional staging demonstration. The client is granted an agreed review window (typically 5 business days) to perform User Acceptance Testing (UAT).
Following production cutover, SprintStack provides a complimentary 30-day post-launch warranty period. Any reproducible software bugs, deviations from approved specifications, or performance regressions identified within agreed features are remediated promptly at zero additional cost. The warranty explicitly covers defect remediation and deployment configuration; it excludes new feature requests, third-party API outages, and modifications made by external developers post-handover.
6. Bilateral Confidentiality & Non-Disclosure
We execute mutual, bilateral Non-Disclosure Agreements (NDAs) prior to receiving proprietary documentation, codebase credentials, or operational workflow details. We do not publicly identify clients, publish brand logos, or reveal operational performance data without explicit written consent.
7. Limitation of Liability
Except in cases of gross negligence, intentional misconduct, or breach of confidentiality obligations, neither party shall be liable for indirect, incidental, special, or consequential damages (including loss of profits, business interruptions, or anticipated savings). SprintStack's aggregate liability arising out of or related to any individual statement of work shall be limited to the total fees paid by the client under that specific SOW in the preceding 6-month period.
8. Termination & Transition Assistance
Either party may terminate an ongoing engagement upon 30 days' written notice or immediately in the event of an uncured material breach. Upon termination, all completed and paid-for source code, database dumps, and deployment configuration scripts are immediately transferred to the client repository with full handover documentation.
9. Governing Law & Dispute Resolution
Unless otherwise specified in an enterprise client's Master Services Agreement, these terms shall be construed and governed in accordance with the substantive laws of India. Any unresolved dispute arising out of or in connection with this agreement shall be submitted to binding arbitration in Bangalore, Karnataka, India in accordance with the Arbitration and Conciliation Act, 1996, conducted in the English language.
